Terms of Service (LoomCAD)

These Terms of Service (“Terms”) govern your access to and use of LoomCAD’s websites, applications, documentation portals, and related services (collectively, the “Service”).
“LoomCAD”, “we”, “us”, or “our” refers to the legal entity identified on the Service’s Legal/Imprint page.
By creating an account, accessing, or using the Service, you agree to these Terms.
1. Other documents that apply
These Terms incorporate by reference:
- the Acceptable Use Policy (“AUP”);
- the Privacy Policy;
- the Cookie Policy;
- any plan-specific terms, order forms, or addenda you accept (including, for Enterprise customers, a Data Processing Addendum and/or an SLA if agreed).
If there is a conflict, the following order applies unless mandatory law requires otherwise:
(1) an Enterprise order form / signed agreement, (2) DPA/SLA, (3) these Terms, (4) AUP, (5) Privacy/Cookie policies.
2. Who can use the Service
You must be at least 16 years old (or the minimum age required by your local law) to use the Service.
If you use the Service on behalf of a company or other entity, you represent that you have authority to bind that entity, and “you” includes that entity.
3. Accounts, security, and collaboration
3.1 Account registration
You must provide accurate account information and keep it up to date. You may not share accounts with others.
3.2 Security
You are responsible for safeguarding your credentials and for all activity under your account. Notify us promptly if you suspect unauthorized access.
3.3 Collaboration
The Service may allow you to create workspaces and invite collaborators. You control who can access your projects and libraries via permissions. You are responsible for ensuring you have the rights to share any content with collaborators.
4. Plans, fees, billing, and downgrades
The Service may be offered under multiple plans, including Free, Paid, Pay-As-You-Go, and Enterprise. Plan details are shown in the Service at the time you select a plan.
4.1 Free plan
The Free plan may include usage limits (for example: number of projects, storage, exports, AI usage, or collaboration features).
Projects are private by default unless you explicitly choose to share or publish them.
4.2 Paid and Pay-As-You-Go plans
Paid plans may include recurring subscription fees and/or usage-based fees (including credits for AI model usage). Pay-As-You-Go plans may bill based on consumption.
4.3 Trials, promotions, and credits
We may offer free trials or promotional credits. Unless stated otherwise, promotions are non-transferable and may expire.
4.4 Taxes
Fees exclude taxes unless stated otherwise. You are responsible for applicable taxes, and we may collect taxes where required.
4.5 Cancellation and refunds
You may cancel a paid plan through the Service’s billing interface (where available). Cancellation typically takes effect at the end of the current billing period.
Except where required by law or stated in a plan, fees are non-refundable, and we do not provide prorated refunds for partial periods.
4.6 Downgrades and plan limits
If you downgrade to a plan with lower limits, you must bring your usage within the new limits within 30 days. If you do not, we may restrict access to content in excess of the limits (without deleting it) until you upgrade or reduce usage.
4.7 Consumer note
If you are a consumer (not acting in the course of business) in the EU/EEA/UK or another jurisdiction with mandatory consumer protections, you may have additional rights that cannot be waived by contract. Nothing in these Terms affects those mandatory rights.
5. Your content
5.1 Customer Content
“Customer Content” means any data, designs, projects, libraries, scripts, files, or other materials you upload, create, generate, or store in the Service (including AI inputs and outputs).
As between you and LoomCAD, you retain ownership of your Customer Content.
5.2 License to operate the Service
You grant LoomCAD a worldwide, non-exclusive, royalty-free license to host, store, process, transmit, display, and reproduce your Customer Content solely to:
- provide and maintain the Service (including backups and exports),
- enable collaboration/sharing according to your settings,
- secure the Service and prevent abuse/fraud,
- improve reliability and performance (including debugging and aggregated analytics).
5.3 Public content
If you choose to make content public, you grant all users and the public a worldwide, non-exclusive, royalty-free, irrevocable license to access, use, copy, modify, create derivative works of, and redistribute that public content for any purpose, with attribution to you where reasonable.
Important: once you publish content, others may have copied, downloaded, or forked it under the public license. Removing or unpublishing content stops new access from the Service, but does not revoke licenses already granted to others.
You should not publish anything you are not authorized to publish or license.
5.4 Content removal
We may remove or disable access to Customer Content if we reasonably believe it violates these Terms, the AUP, or applicable law, or if required by a lawful request.
6. AI features and model categories
The Service may include AI-assisted features (for example, an AI copilot, chat, or script generation).
6.1 Model categories
The Service may offer one or more AI model categories:
A. Private/Commercial models
Typically offered under commercial terms intended to reduce broad reuse/disclosure of your inputs and outputs, subject to the provider’s terms and your plan configuration.
B. Community/Open models
Models that may be provided under terms that allow or require the model provider (or the provider’s hosting/routing service) to store, analyze, reuse, train on, and/or publish your prompts, attachments, and outputs (including in public datasets).
If you choose Community/Open models, you acknowledge and agree:
- third-party providers may use and publish your inputs/outputs under their terms,
- you must not submit confidential, proprietary, personal, sensitive, export-controlled, or regulated data to Community/Open models,
- you are responsible for selecting an appropriate model category for your use case.
6.2 Verification requirement
AI outputs may be incorrect or incomplete. You are responsible for reviewing and validating any AI output before using it in design, manufacturing, compliance, or safety-critical contexts.
6.3 AI output ownership
As between you and LoomCAD, AI outputs generated for you through the Service are treated as your Customer Content.
LoomCAD retains all rights to the Service, including its software, APIs, documentation, UI, and LoomCAD-provided libraries and templates. (You own your document; we own the editor.)
6.4 Transparency and labeling (EU AI Act readiness)
We aim to provide clear notice when you are interacting with AI features, and we may label or otherwise indicate AI-generated content within the Service. You agree to use AI features responsibly and to verify outputs before applying them.
7. Provider credentials and API keys
The Service may:
- provide access to AI models and integrations through LoomCAD-managed credentials/credits; and/or
- allow you to store credentials (including API keys) for third-party services (“Provider Credentials”).
Provider Credentials (where used) are used only to perform requests you initiate in the Service. You remain responsible for complying with third-party provider terms. If a third party bills you directly for usage under a credential, you are responsible for those charges unless your plan explicitly states otherwise.
8. Acceptable Use Policy
You must comply with the AUP. Violation of the AUP is a material breach of these Terms.
9. Export controls, sanctions, and regulated technical data
You represent and warrant that:
- you are not located in, and will not access or use the Service from, any jurisdiction where providing the Service would violate applicable sanctions or export control laws; and
- you are not a denied/restricted party under applicable sanctions/export control lists.
You must not upload, store, process, or share any ITAR-controlled technical data, EAR-controlled data requiring special handling, classified information, or other regulated technical data unless we expressly agree in writing under a separate Enterprise agreement designed for such data.
10. Intellectual property
The Service (excluding Customer Content) is owned by LoomCAD and protected by intellectual property laws.
You may not:
- reverse engineer, decompile, or attempt to derive source code from the Service except to the extent such restrictions are prohibited by law;
- bypass or circumvent technical restrictions, rate limits, paywalls, or access controls;
- use the Service to build a competing product.
11. Third-party services and content
The Service may integrate or interoperate with third-party services (for example, AI providers, authentication providers, component catalogs). We are not responsible for third-party services, their availability, their content, or their terms.
12. Privacy and cookies
Our Privacy Policy and Cookie Policy describe how we collect, use, and share personal data and cookies. By using the Service, you acknowledge those policies.
13. Disclaimers (including engineering and safety)
THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE”. TO THE MAXIMUM EXTENT PERMITTED BY LAW, LOOMCAD DISCLAIMS ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
THE SERVICE IS A DESIGN TOOL AND IS NOT A SUBSTITUTE FOR PROFESSIONAL ENGINEERING JUDGMENT. ALL DESIGNS AND OUTPUTS (INCLUDING AI OUTPUTS) MUST BE INDEPENDENTLY REVIEWED AND VALIDATED BY QUALIFIED ENGINEERS BEFORE MANUFACTURING, DEPLOYMENT, OR USE IN SAFETY-CRITICAL SYSTEMS. LOOMCAD IS NOT RESPONSIBLE FOR NON-COMPLIANCE WITH SAFETY, PERFORMANCE, OR REGULATORY REQUIREMENTS.
AI OUTPUTS ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY AND MAY BE INCORRECT. YOU MUST INDEPENDENTLY VERIFY RESULTS.
14. Limitation of liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW:
- LOOMCAD WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR FOR LOST PROFITS, LOST REVENUE, OR LOST DATA.
- LOOMCAD’S TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD WILL NOT EXCEED THE AMOUNT YOU PAID TO LOOMCAD FOR THE SERVICE IN THAT PERIOD, OR EUR 100 IF YOU PAID NOTHING.
Nothing in these Terms limits liability that cannot be limited by law.
15. Indemnification
You will defend, indemnify, and hold harmless LoomCAD from claims arising out of:
- your Customer Content (including public content),
- your violation of the AUP or applicable law,
- your misuse of the Service.
Enterprise customers may have different or mutual indemnities under a separate agreement.
16. Suspension and termination
You may stop using the Service at any time.
We may suspend or terminate your access if you materially breach these Terms or the AUP, or if necessary to protect the Service, users, or comply with law.
17. Account deletion
You may request account deletion through in-product controls (where available), including built-in UI mechanisms and automated in-app deletion request flows, and/or by contacting support via email.
We may require verification to prevent unauthorized deletion. Deletion effects and retention are described in the Privacy Policy.
18. Changes
We may update these Terms from time to time. We will post the updated Terms in the Service and indicate the effective date. Continued use after the effective date constitutes acceptance.
19. Governing law and jurisdiction
These Terms are governed by the laws of the Czech Republic, excluding conflict of law rules.
If you are a consumer resident in the EU/EEA/UK, you may benefit from mandatory consumer protections in your country of residence, and you may bring claims in your local courts where required by law.
